BACKGROUND: On July 21,
1987 the Board of Directors of the Lancaster County Solid
Waste Management Authority (the "Authority) approved
the "Government Self-Insurance Fund Agreement" (the
"Agreement") and the "By-Laws of Government
Self Insurance Fund" (the By-Laws"). The purpose
of the Government Self-Insurance Fund (the "Fund")
is to establish a self-insurance mechanism for governmental
entities who elect to participate in the Fund, to provide
each Participant with a self-insurance fund for payment of
claims, and to protect Participants against risks where traditional
insurance coverage is unavailable or inadequate or unreasonably
expensive. The Authority is presently the sole participant
in the Fund.
According to Article II Paragraph 1 of the By-Laws there
shall be at no time fewer Directors than the greater of (i)
the number of Participants in the Fund or (ii) three (3) Directors.
Paragraph 2 states each Participant shall designate one person
as a Director. Not more than one (1) Director appointed by
a Participant may also serve on that Participant's governing
body. Paragraph 3 states that any vacancy on the Board of
Directors applicable to a Participant shall be filled by appointment
of such Participant.

Barbara B. Hammel has proven to be a valuable member of the
Board of Directors of the Authority and has expressed interest
in filling the vacant position on the Fund Board of Directors.
Therefore, the Board of Directors of the Authority hereby
approves the appointment of Barbara B. Hammel to the Board
of Directors of the Government Self-Insurance Fund for the
term expiring on December 31, 2001.
