1987 the Board of Directors of the Lancaster County Solid
Waste Management Authority (the "Authority) approved
the "Government Self-Insurance Fund Agreement" (the
"Agreement") and the "By-Laws of Government
Self Insurance Fund" (the By-Laws"). The purpose
of the Government Self-Insurance Fund (the "Fund")

insurance coverage is unavailable or inadequate or unreasonably
expensive. The Authority is presently the sole participant
in the Fund.
According to Article II Paragraph 1 of
the By-Laws, there shall be at no time fewer Directors than
the greater of (i) the number of Participants in the Fund
or (ii) three (3) Directors. Paragraph 2 states each Participant
shall designate one person as a Director. Not more than one
(1) Director appointed by a Participant may also serve on
that Participant's governing body. Paragraph 3 states that
any vacancy on the Board of Directors applicable to a Participant
shall be filled by appointment of such Participant.

Barbara B. Hammel has proven to be
a valuable member of the Board of Directors of the Fund and
